The ideal candidate will have experience in various corporate transactions, including equity financings, securities, mergers and acquisitions, and corporate governance matters. Impeccable written and verbal communication skills, strong analytical abilities, and excellent academic credentials are essential. Job Details:Handle various corporate transactions, including public and private equity offerings, private placements, initial public offerings (IPOs), and follow-on offeringsDraft and review legal documents, including proxy statements, S-4 registration statements, and other regulatory filingsInterface with the SEC and other regulators on behalf of clientsAdvise public companies on ongoing reporting requirements under the 1934 Act, including 10-Ks, 10-Qs, 8-Ks, and proxy statementsProvide day-to-day counseling to public companies on corporate governance mattersRepresent both issuers and underwriters in transactionsCounsel high-growth, early-stage businesses and active investors on incorporations, equity financings, and general corporate matters Experience:3-6 years of substantive legal experience in corporate lawExperience working with high-growth, early-stage businesses and active investors Education and Certifications:Juris Doctor (J.D.) degree from a nationally recognized law schoolAdmission to practice law in California Skills:Experience in corporate transactions, including equity financings and mergers and acquisitionsStrong understanding of securities laws and regulationsExcellent written and verbal communication skillsAnalytical and problem-solving abilitiesAbility to work independently and as part of a team
